EDWARD SATRAN

Edward Satran Edward Satran, President, founded Clearwater Associates in 1996 to consult for small and midsize companies seeking growth and expansion. Mr. Satran's focus is working with clients developing healthy internal operations, infusing operations with needed capital, conducting strategic acquisitions, and at times merging operations. Additionally, Mr. Satran works closely with senior management and owners of private and public companies guiding them through a myriad of issues. Ed's particular areas of expertise include business planning, budgeting, financial analysis, reverse mergers, mergers and acquisitions. Ed assists clients with financial negotiations, business valuation, and other critical decisions. To better serve his clients, Ed maintains and nurtures a network of talent, each a specialist in disciplines to help companies grow. His talent includes senior managers with skill sets in Sales, Marketing, Operations, and Accounting in a number of various industries.

In 2002 the key shareholders of ELR Technologies, Inc, a public company, asked Clearwater Associates for assistance. Ed was appointed Chairman and President of ELR technologies, Inc. to accomplish his task of positioning the company to maximize a future exit. Ed worked with all concerned parties, including government agencies, lawyers and CPAs to ensure that all existing stumbling blocks were eliminated and the company was trouble free. Ed succeeded in his efforts and in April of 2005 the shareholders of ELR Technologies, Inc. elected to merger with another company.

Ed has been associated with major financial institutions such as Citibank and Marine Midland Bank (a division of HSBC), where by developing and introducing a new procedure he was able to decrease costs by 80% regarding controlling, accounting, and handling of financial paper. Additionally by instituting procedural and training methods, Mr. Satran was able to increase efficiencies by 15% while producing an efficient self-sustaining work environment. Whether Ed's responsibilities were for operations handling in excess of one hundred thousand dollars or five hundred million dollars, his skillful methods always proved successful.

As a committee chairperson of the Middlesex County Regional Chamber of Commerce Ed received the Fleet Bank Award for Volunteer of the year.

Ed holds a Masters of Business Administration and a Bachelors of Business Administration Degrees in Finance from Baruch College of City University of New York. He also has completed post graduate studies in Computer Science, Accounting, and Law.

PATRICK J. JOSTOCK

Patrick J. Jostock Patrick J. Jostock joined Clearwater Associates in 2000 as Executive Vice-President. Clearwater Associates, a consulting firm, specializes in Merger, Acquisition, Funding, and Senior Management Consulting. Patrick spearheads the firm's dynamic growth in the Turn-A-Round and Senior Management Consulting areas. During his tenure at Clearwater Associates, Patrick led a Generational Transfer placing its lackluster business into hyper-growth, (10 times or more the category growth rate) and successfully turned-a-round three business operations.

Patrick's infectious enthusiasm often inspires others to achieve spectacular results. He has won numerous leadership awards. Among those he is most proud are those from Norton Simon Inc., (Cosmetics, Fashion, CPG) Canada Dry USA, (Soft Drinks, Spirits, Yogurt Drinks) and Greenfields, (Specialty Foods/Food Distribution) citing his ability to build dynamic teams. His expertise lies in his ability to build effective strategies and plans, gain support from his team, (employees and customers) and successfully implement against same with a great sense of diligence and urgency. He commits himself to building strong teams believing that a company's performance is a reflection of employees' skills and attitudes. As a leader/trainer, Patrick has authored numerous training manuals such as; It's About Time, Goal Getting, and Skyrocket to Success.

At a multi-plant, multi-state food/distribution operation, Patrick's team managed the business into a highly profitable exit strategy. Patrick championed the Azure Blue Water Company. In 14 months, the company was re-positioned and re-organized, resulting in almost a 63% reduction in the Cost of Goods Sold. While the National Sales Manager of Grosvenor Marketing LTD, a division of Associated British Foods, Patrick pushed this 200-year old Specialty Food Company into the highest consecutive growth rate in the company's history in a previous no-growth product category. In the first year as a Regional Director for Canada Dry USA his team catapulted sales by 40% in an area responsible for almost 60% of overall company volume. Experienced in Sales and Marketing and cross-trained in all business disciplines Patrick has a unique understanding of how any one decision can impact the overall health of the company.

Patrick has an MBA from Monmouth University, and a BBA from Western Michigan University, he is an active member in the New Jersey Senior Executive Networking Group while sitting on the Board of Advisors to Alpha-Genetics Inc. (Consumer Bio-Tech), and Naturalia Inc. (Consumer Product/Internet). Residing with his wife Nancy in Colts Neck, NJ, Patrick serves his community as a volunteer Emergency Medical Technician.
